Philly Pride Bylaws

ARTICLE 1: NAME

The name of the organization shall be “Philly Pride Presents, Inc.” as originally incorporated under the by-laws ratified on 12/8/99. The organization has registered the name “Philly Pride Presents” and shall be referred herein as simply “PPP”

ARTICLE 2: PURPOSE

The Purpose of PPP shall be the advancement of Lesbian, Gay, Bisexual and Trangender (hereinafter “GAY”) rights through diversity, visibility and outreach. This purpose is to be achieved by a yearly parade and festival “PrideDay ” celebration, a yearly National Coming Out Day celebration (“OutFest”), a yearly winter event (“WinterPride”) and other forms of community outreach as may be appropriate.

ARTICLE 3: MEMBERSHIP

All members of the Greater Philadelphia “LGBT” community shall be considered members.

ARTICLE 4: BOARD OF DIRECTORS

(a) Any community member who has attended (4) consecutive meetings and has participated as a volunteer during “PrideDay ” or “OutFest” shall be eligible to be a member of the Board of Directors (hereinafter called “Pride Coordinators”) .

(b) The number of Pride Coordinators shall be not less than 5 nor more than 15.

(c) Terms of office for Pride Coordinators shall be two years.

(d) Nominations to the board shall be made at the last board meeting in December. Those nominated shall be elected to office at the general membership meeting following their nomination by a simple majority vote.

(e) Vacancies due to resignation, termination, or death shall be filled by simple majority vote of the pride coordinators. This coordinator shall serve for the remainder of the of the coordinator being replaced.

(f)  No coordinator shall have a personal agenda or personal financial interest in any organization activity unless previously approved by the board.

(g) All information such as volunteer lists, mailing lists, corporate contributors, ext. shall remain the property of PPP and shall be kept at the corporate office. All of the above information shall not be shared or lent out.

ARTICLE 5: OFFICERS

There shall be no officers for the organization. The pride coordinators shall determine which member shall be designated as “Treasurer” / “Money Manager” for financial purposes only. The pride coordinators may establish someone to be designated as President and Vice President for signature purposes.

ARTICLE 6: COMMITTEE AND COMMITEE HEADS

From time to time, the pride coordinators may establish the following committees and committee heads, and any other committee to help secure the goals of the organization. Only Pride Coordinators can serve as Co­ Chairs. All other positions may be filled by a community member designated by the Executive Director and Pride Coordinators. Any coordinator accepting an assignment on PrideDay or OutFest shall focus their efforts exclusively on said assignment.

(a) PrideDay Coordinator to help coordinate overall activities for the event

(b)  OutFest Coordinator to help coordinate overall activities of the event

(c)  PrideDay Coordinator to help coordinate overall activities for the event

(d)  Entertainment Co-Chair

(e)  Volunteer Coordinator

(f)  Security Coordinator

 ARTICLE 7: MEETING

(a)  There shall be one general Board and Membership meeting per month occurring the same day each month or as near there to as possible (open to the public). Visitors can not participate in meeting unless they they are listed on the Media can not ask questions du ring the meeting, they must wait until after the meeting has been adjourned.

(b)  There should be coordinator meetings weekly starting five weeks before each Coordinators meetings are working and planni ng meetings and are not open to the general public.

(c)  No pride coordinator shall solicit funds for an organization other than PPP during a general or coordinator meeting.

 ARTICLE 8: REMOVAL OF COORDINATOR

(a)  Any coordinator missing three (3) consecutive meetings can be removed by simple majority vote of pride coordinator. (b)  Any pride coordinator identifying themselves as a representative of PPP while soliciting funds for another organization causing a conflict of interest or any loss of a donation or funding due to this misrepresentation will be removed by simple majority vote of Pride

 ARTICLE 9: CHARITABLE & EDUCATIONAL PURPOSE

PPP organized exclusively for charitable and educational purposes. PPP may, for such purposes make distributions to organizations under section 501 (c)3 of the internal Reven ue Code or corresponding section. No amount of PPP’s net earnings shall inure to the benefit of, or be distributed to, its members, coordinators, or other private person, except that PPP shall be authorized to pay reasonable compensation for services rendered and to make payments and distributions for the purposes set forth above. PPP shall not be engaged in carrying on of propaganda, or otherwise attempting to influence legislation, except that PPP shall be authorized to make efforts to prevent discrimination or to improve upon other human rights which would be consistent with purposes of the organizations. Neither PPP nor any of its coordinators acting on behalf of it or in any other way representing PPP take part in or intervene in any political campaign or on behalf of any candidate for public office. This limitation shall include the publishing, broadcasting, able casting or disrribution of statement for such purpose. PPP shall not conduct any other activities not permitted by corporation exempt from federal income tax under 501 (c)(3) of the Internal Rennue Code or by a corporation whose contributions are deductible under section 170 (c) 2 of the Internal Revenue Code or corresponding section.

 ARTICLE 10: DISSOLUTION

In the event or the dissolution of PPP, assets shall be distributed for purposes allowed within the meaning of section 501 (c)(3) of the Internal Rennue Code, or corresponding section, or shall be distributed to the federal government or to a state or local government, for a public purpose.

 ARTICLE 11: AMENDMENTS

These by-laws may be amended in whole or in part by a 2/3 vote of the coordinators.
